Terms of Service

These Terms of Service ("Terms") govern your access to and use of ThanksBill, operated by Techoshik Technologies ("we", "us", "our"), a proprietorship firm based in India.

By creating an account or using the Service, you agree to be bound by these Terms.

1. Description of Service

ThanksBill is a cloud-based billing and inventory management application designed for retail businesses in India. Features include bill creation, product and stock management, purchase tracking, team management, discount workflows, and reporting.

2. Eligibility

  • You must be at least 18 years of age
  • You must represent a legitimate business entity
  • You must provide accurate and complete registration information

3. User Accounts

  • You are responsible for keeping your login credentials confidential
  • You are responsible for all activity that occurs under your account, including actions taken by team members you add to the Service
  • Notify us immediately at contact.thanksbill@gmail.com if you suspect unauthorised access
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. Subscription and Payments

  • ThanksBill operates on a per-shop subscription model; pricing is displayed within the app and on our website
  • Subscription prices are inclusive of all applicable taxes; the displayed price is the full amount charged
  • We may modify subscription pricing from time to time; any pricing changes will apply prospectively and will be communicated through the Service, email, or website at least 30 days before taking effect
  • Payments are processed by Razorpay and subject to Razorpay's Terms and Privacy Policy
  • New shops receive a 30-day free trial; after expiry the shop becomes read-only — existing data remains accessible but new bills cannot be created until the shop is activated
  • Additional shops created after onboarding require activation via Razorpay before use
  • Subscription fees are generally non-refundable except where required by applicable law or expressly approved by us in writing; contact contact.thanksbill@gmail.com for requests
  • Cancellations and refunds are further described in our Refund & Cancellation Policy

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable Indian law
  • Attempt to gain unauthorised access to other accounts or our infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Upload or transmit malicious code, viruses, or harmful content
  • Use the Service to infringe on any third-party intellectual property rights
  • Scrape, extract, or systematically download data from the Service using automated means

6. Your Business Data

  • You retain full ownership of all business data you enter into ThanksBill
  • By using the Service, you grant us a limited licence to process and store your data as reasonably necessary to provide, secure, maintain, support, and improve the Service, or as required by law
  • We do not sell or share your business data with third parties for their own purposes
  • You are responsible for maintaining copies of your business records and exporting data you wish to retain before terminating your account or deleting your data; the Service provides export tools for products and reports, and you may request a copy of other data by contacting contact.thanksbill@gmail.com
  • If you use case-sale verification features that capture images from CCTV or DVR systems installed at your premises, you are solely responsible for operating those systems lawfully, including displaying any notices and obtaining any consents required for surveillance of your staff and customers under applicable law

7. User Feedback

If you provide suggestions, ideas, feature requests, or other feedback regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate such feedback without compensation or obligation to you.

8. Tax Compliance

You are solely responsible for ensuring that invoices, tax calculations, GST reporting, inventory records, and other business records generated using the Service comply with applicable laws and regulations. ThanksBill provides software tools only and does not verify or guarantee the accuracy of tax computations for your specific business context.

9. No Professional Advice

The Service is provided as a software tool only and does not constitute legal, accounting, tax, financial, or regulatory advice. Users should consult qualified professionals regarding their specific obligations.

10. Intellectual Property

  • ThanksBill, its name, logo, design, and underlying software are the exclusive property of Techoshik Technologies
  • You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business operations
  • These Terms do not transfer any intellectual property rights to you

11. Limitation of Liability

  • The Service is provided "as is" without warranties of any kind, express or implied
  • In no event shall we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data, arising from or related to your use of the Service
  • To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to the Service shall not exceed the greater of INR 500 or the subscription fees paid by you during the three months immediately preceding the claim
  • We are not responsible for the performance, availability, or privacy practices of third-party services (Firebase, Razorpay, etc.)

12. No Guarantee of Business Outcomes

We do not guarantee any specific business outcome, revenue increase, inventory accuracy, tax result, or operational improvement from use of the Service.

13. Service Availability

We strive to keep the Service available and functioning reliably; however, we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, upgrades, third-party service outages, internet failures, or circumstances beyond our reasonable control.

14. Force Majeure

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to third-party service outages (Firebase, Razorpay), internet disruptions, natural disasters, government actions, or any other event outside our direct control.

15. Termination and Suspension

  • You may terminate your account at any time by contacting contact.thanksbill@gmail.com
  • We may suspend or restrict access to the Service if we reasonably believe:
    • these Terms have been violated
    • the account is involved in fraudulent, unlawful, or abusive activity
    • continued access poses a security risk to the Service or other users
    • subscription fees remain unpaid beyond any applicable grace period
  • Upon termination, your access to the Service may be immediately suspended or revoked
  • On termination, your data is retained for up to 90 days before permanent deletion, except where retention is required by law or necessary to resolve disputes, enforce agreements, or maintain backup systems for a limited period

16. Beta Features

Certain features may be identified as beta, preview, or experimental. Such features may be modified, suspended, or removed at any time and are provided without any warranty.

17. Governing Law and Disputes

  • These Terms are governed by the laws of India
  • Disputes shall be subject to the exclusive jurisdiction of the District Court at Yamuna Nagar, Haryana, India
  • We encourage resolution through direct communication before initiating legal proceedings

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, reorganisation, or sale of assets.

19. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining Terms will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Techoshik Technologies regarding the Service.

20. Electronic Communications

By using the Service, you consent to receive communications electronically, including notices relating to your account, subscriptions, billing, support requests, security matters, and updates to the Service. Such communications satisfy any legal requirement that notices be made in writing.

21. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide notice through the application, email, or website before the changes become effective. Continued use of the Service after notification constitutes acceptance of the updated Terms.
